It is possible for companies and associations to hold entirely digital general meetings
From 1 January 2024, it is possible for companies and associations to hold entirely digital general meetings, provided that their articles of association or by-laws that permits this.
On 22 November 2023, the Swedish Parliament (Riksdagen) decided that beginning on 1 January 2024 it will be possible for companies and associations to hold entirely digital general meetings. This opportunity applies to limited liability companies, cooperatives, and cooperative housing associations, among others.
The articles of association or bylaws must state that the meeting may be held digitally.
Articles of association or statutes must not be in conflict with current law and the law will enter into force from 1 January 2024. Therefore, if a company or association decides to amend its articles of association or bylaws before that date, the articles of association or statutes will need to include a specific condition that digital meetings can only be held once the law has entered into force.
