Managing director – branch
A branch must have a managing director to run its business activities. The managing director represents the branch and must register it with Bolagsverket.
Power of attorney, residency and signatory power
The managing director is to have a special power of attorney. One or more deputy managing directors for the branch can be appointed, and these persons must also have their own power of attorney.
The managing director and the deputy managing directors of the branch should be resident within the European Economic Area (EEA).
The managing director is entitled to sign for the branch, and the deputy managing director may also be entitled to sign for the branch.
Person authorized to receive service of process
If the managing director of the branch is not resident within the EEA, the foreign company must appoint a person resident in Sweden to receive service of process on behalf of the branch.
The person authorized to receive service of process must
- be 18 years of age or older,
- not have a guardian, and
- be reported for registration with Bolagsverket.
