If you want to set up a limited company in Sweden you must register the company with Bolagsverket. You must also register with the Swedish Tax Agency (Skatteverket).
Use the form Registration of a new company, number 816 e , to apply for a registration of a limited company. The fee for registering a limited company is SEK 2 200 .
Attach the following documents to your application
- memorandum of association (stiftelseurkund)
- articles of association (bolagsordning)
You must also attach one of the following
- bank statement of the share capital, if the shares have been paid for with cash
- a statement from an auditor, if the shares have been paid for with assets other than cash
If you have a Swedish electronic identification you can apply online for registration of your limited company. Please note that the information in the e-services is in Swedish only.
When a limited company has been registered with Bolagsverket it receives a registration number and becomes a legal person.
If any of the limited company’s board members or deputy board members is residing outside of Sweden you must submit a certified copy off a passport of those persons with the application. This rule also applies to Swedish citizens residing abroad.
