If you want to set up a limited company in Sweden you must register the company with Bolagsverket. You must also register with the Swedish Tax Agency (Skatteverket).
Use the form Registration of a new company, number 816 e , to apply for a registration of a limited company. The fee for registering a limited company is SEK 2 200 .
Attach the following documents to your application
- memorandum of association (stiftelseurkund)
- articles of association (bolagsordning)
You must also attach one of the following
- bank statement of the share capital, if the shares have been paid for with cash
- a statement from an auditor, if the shares have been paid for with assets other than cash
If you have a Swedish electronic identification you can apply online for registration of your limited company. Please note that the information in the e-services is in Swedish only.
When a limited company has been registered with Bolagsverket it receives a registration number and becomes a legal person.
If any of the limited company’s founders, board members or deputy board members is residing outside of Sweden you must submit certified identity documents of those persons with the application. This rule also applies to Swedish citizens residing abroad.
