Set up a limited company

On this page, you can read about setting up a limited company and how to register it with Bolagsverket.

A limited company is formed by one or more founders. The founder can be a legal entity or a natural person. Read about residency requirements on the page Residing abroad.

How to register a limited company

1. Get started – memorandum of association and articles of association

When you decide to start a limited company, the first thing you must do is to draw up and issue a document referred to as the memorandum of association. The memorandum of association of a limited company must among other things state the share price, information about board members and a draft of the articles of association. The articles of association are a document that among other things states the business name and activities.

2. Subscribe and pay for shares

As a founder, you may also buy shares in the company. Those who buy (subscribe to) shares, are listed as subscribers in the memorandum of association. All the subscribers sign the memorandum stating the number of shares they buy. There is no requirement that all founders subscribe to shares in the company.

The money must be deposited to a specific bank account or paid with other assets than money (capital contributed in kind). The share capital of a private limited company must be at least SEK 50 000, and of a public limited company at least SEK 500 000.

3. Sign the memorandum of association

When all founders have signed the memorandum of association the limited company is formed.

4. Apply for registration and pay the fee to Bolagsverket

Use the form Registration of a new company, number 816 e, to apply for registration of a limited company. The application must be submitted not later than six months after the drawing up of the memorandum of association. The fee must be paid at the same time as you submit the application to Bolagsverket.

If you have a Swedish electronic identification, you can apply online for registration of a limited company. Please note that the information in the e-services is in Swedish only.

 5. Bolagsverket registers the company

Bolagsverket decides to register the limited company and gives it a registration number.  When the company has been registered, we will send you a certificate of registration in Swedish. The company has now become a legal entity and the business activities can start.
