How to register a limited partnership

To set up a limited partnership, the partners must make an agreement to jointly carry on business activities. The agreement can be in writing or can be an oral agreement. We recommend a written agreement because this makes it easier to prove what the partners have agreed on. A written partnership agreement must be signed by all the partners. The agreement is not a public document and should not be filed for registration.
2. Apply for registration
Use the form Registration of a new partnership, number 902 e, to apply for registration of a limited partnership. When the limited partnership has been registered with Bolagsverket, it receives protection of the business name in the county of registration. If you are going to carry out business activities in more than one county, you might want to apply for registration in those counties as well. We charge a registration fee for each county. If you have a Swedish electronic identification, you can apply online for registration of your limited partnership. Please note that the information in the e-services is in Swedish only.
3. Submit additional details, if necessary
If something is missing in your application, you might need to submit additional details to Bolagsverket. At verksamt.se you can read and reply to emails from us.
4. The limited partnership is registered with Bolagsverket
Bolagsverket decides to register the limited partnership. Before registration Bolagsverket will, among other things, make a decision as to whether the proposed business name of the limited partnership can be approved. Our processing time is about one to two weeks.
When the limited partnership has been registered, we will send you a certificate of registration in Swedish. The limited partnership will receive a registration number that is to be used as an identity number when contacting authorities and others.
The limited partnership becomes a legal entity when it is registered with Bolagsverket. A legal entity can sign agreements, have employees, own things, and be a party of a legal trial.
When somebody has been registered as a partner of a limited partnership, we will send information about the registration to this partner. The information is sent to the address that is registered in the Swedish population register. The same applies when we deregister a partner.
Do not order printed material before your business name has been approved
Make sure you do not order a domain name or printed material such as business cards, signs, etc. before we have approved and registered your business name.
